SELLERS - making the right move

At Morgan Heath we do not charge the seller a fee to use our services. We are paid by the acquirer, but that does not mean that we steer you in any one direction. All cases are different and each one is tailored following a process that sees the seller matched with a number of suitable acquirers.

 

We will find acquirers that offer terms that not only present good value for the business, but that offer a favourable model and structure for their clients. We feel this is very important as more often than not the clients are long term friends, and sometimes family, of the IFA so to ignore how they are dealt with in the future would not be the way forward.

Our team are here to help identify the unique selling points of a business and to explain how they can increase their value and position in a selling market. Our process consists of the following:

 

1.    The first step is to explore and get an understanding of the business. This will involve a telephone conversation and/or a visit to the seller’s office (or nearby if preferred). Here we will take down initial information that will enable us to give you an idea as to what you could expect in the market.

 

2.    Should a seller wish to use Morgan Heath to help with selling the business, we would then take more in-depth information to allow us to present a number of suitable acquirers and/or mergers that are active in the current market. We would not contact the acquirer(s) until the seller agreed with our choices.

 

3.    Once a potential acquirer/merger is agreed on we make contact with them and should the interest be there from the acquirer/merger side, we facilitate a phone conversation or face to face meeting, which ever is preferred.

 

4.    These meetings can then take a few weeks, maybe longer, before proposals are produced.

 

5.    If a proposal is agreed, due diligence will often then take place. This will usually take between 4-6 weeks.

 

Our team at Morgan Heath will help with every step. We can help with negotiations and any problems and can get as involved as often as required. Many times we are not needed to help after initial meetings are arranged, though sometimes we are needed to help all the way to completion and afterwards. Every situation is different and we are flexible enough to adapt our involvement as each client requires.
